A Private Ministerial Association (PMA) is an unincorporated organization of individuals who have come together for a common spiritual purpose, operating under the protection of the First Amendment to the United States Constitution. PMAs exist in the private domain, separate from public commerce and government regulation.
Why Netpositive Village Operates as a PMA:
We have chosen to structure Netpositive Village as a Private Ministerial Association under Sunlight Ministries for the following reasons:
Constitutional Protection: Operating as a PMA allows us to exercise our fundamental rights to freedom of association, freedom of spiritual practice, and freedom of assembly as guaranteed by the 1st, 7th, 9th, and 14th Amendments of the U.S. Constitution.
Private Domain Operations: As a PMA, all our activities occur within the private domain through voluntary contracts between consenting members. This protects our community from unnecessary governmental oversight and regulation that would otherwise apply to public entities.
Spiritual Foundation: This Private Membership Association is founded on spiritual principles and operates in the likeness of a 508(c)(1)(a) and under its protections. While our governance and services reflect the founders' spiritual beliefs and mission, membership is based on contractual agreement and does not require adherence to any particular spiritual or religious beliefs. Our work is rooted in deeply held spiritual beliefs about humanity's inherent right to abundance, prosperity, and living in harmony with natural systems. The PMA structure honors and protects these sacred principles. We welcome members of all faiths, spiritual practices, and philosophical orientations. Your personal beliefs remain your own—what we share is a commitment to the principles of netpositivity and regenerative living.
Member Sovereignty: The PMA framework respects individual sovereignty and personal choice, allowing members to make their own informed decisions about participation, ministerial offerings, and community involvement without external interference. By joining as a member, you are entering into a private contract with other like-minded individuals who share these values and are committed to building netpositive communities together.
DEFINITIONS
"Ecclesiastical" - For purposes of this Agreement and in accordance with our 508(c)(1)(a) status, "ecclesiastical" refers to matters pertaining to the governance, practices, and internal affairs of this Private Membership Association. This term is used in its legal sense to encompass the spiritual and operational autonomy of this organization and is not intended to denote affiliation with Christianity or any organized religion. Members are not required to share the founder's spiritual beliefs to participate in this Association.
"Ministerial" - For purposes of this Agreement, "ministerial" refers to the offerings, guidance, and functions provided by designated members or facilitators of this Association. This term describes those who serve the operational and service-related needs of our membership and is not limited to or defined by any traditional religious context.
Congruent with the Constitution of the United States, the constitutions of the several states of the union, Universal Declaration of Human Rights (UDHR) and in honor of our inherent, inalienable rights, this Private Ministerial Association and its members declare the objective of this Association is to conduct contracts, including but not limited to business contracts, in the Private Domain.
We act in Spiritual Authority to exercise our rights of absolute freedom not limited to religion, free speech, and especially to serve one another in communion, or as an assembly of lawful, living men, women and children. Our Private Association activities are limited to the Private Domain, apart from the Public Domain, which is a separate jurisdiction of government entities, agencies, officers, and other bodies of their own jurisdictional power. Since the Association is protected by the 1st, 7th, 9th, and 14th Amendments to the U.S. Constitution, it is outside the jurisdiction and authority of Federal and State Agencies and Authorities.
Section 1. Private Association Recognition
I acknowledge that I am voluntarily joining the "Sunlight Ministries Private Ministerial Association" ("PMA") by submitting my registration to this Agreement, a faith-based private ministerial organization operating under constitutional protection and guided by Divine Source. I understand this is a private membership association that offers no services to the general public.
Section 2. Constitutional Protection Understanding
I acknowledge that all services provided by the PMA operate under First Amendment protection of freedom of association and spiritual practice. I understand that the PMA's ministerial offerings constitute the practice of deeply held spiritual beliefs about our inherent rights to freedom, abundance and prosperity.
Section 3. Private Domain Agreement
I agree that all interactions with the PMA occur within the private domain, protected by constitutional freedom of association. I understand that no public services are offered and that all village services and opportunities are provided exclusively to private members under constitutional protection.
Section 4. Members Freedom of Choice
4.1 Members make educated decisions to choose whom they would like to contract with for any service or care, in any sense, of their mind, body or spirit, within the association, including independently contracted service providers and any other Unincorporated Trusts, Associations or Charities associated with the Ministry.
4.2 We exercise our free will and self-responsibility to make educated decisions about any offerings, whether directly offered by the Ministry or not, which may benefit or influence the human physiology, anatomy, energetic body, mind or spirit, including by ways of environmental design, community design, regenerative systems, netpositive building systems, holistic health practices and netpositive business opportunities.
Section 5. Member Information
Member affirms that all information provided to the Association is truthful and accurate. Member is responsible for notifying the Association in writing of any changes to their information, including contact details, within thirty (30) days of such change.
Section 6. Membership Availability
Membership is available only to living men and women acting in private capacity. No artificial intelligence, corporate entity, government agency, or any fictitious person may join or access the Association in any capacity. Participation by any such entity is forbidden and constitutes an immediate breach of this Agreement.
Section 1. Netpositive Village Ministerial Offerings
I understand that the PMA provides a variety of ministerial offerings, one of them being called "Netpositive Village" (NPV). NPV is a holistic living solution provided exclusively to members of the PMA. This solution includes different modalities across various domains including but not limited to housing, health, food, wealth creation, stewardship, and internal financial services. Members in good standing may additionally enter into land participation through the Private Membership and Land Acquisition Agreement, governed by that separate agreement.
Section 2. Backing and Value
I acknowledge that NPV is founded upon the principles of netpositivity and backed by land and real-world assets including land rights, infrastructure, intellectual property, and other tangible holdings held within the ministerial and trust structures of the Association, as well as the collective works and organisations aligned with its mission.
Section 3. Internal Participation
I agree to participate in NPV via upholding my responsibilities and commitments, aligned with the principle of "Do No Harm, Do Good Instead," gaining exclusive access to ministerial offerings including but not limited to benefits, land, Refugi.co housing, netpositive health centres, netpositive restaurants, regenerative food systems, wealth creation opportunities, stewardship opportunities, and other ministerial offerings as developed.
Section 4. Special Deposits
Where Members use public payment processors for convenience, such use does not convert private contributions into commercial transactions or waive the Member's private standing within the Association.
Section 1. Sacred Values Alignment
I commit to honoring the PMA's sacred values including inherent abundance and right to prosperity as humanity's natural state, netpositivity ("Don't do Harm, Do Good Instead") as a guiding paradigm that inspires our thoughts and actions, sacred stewardship of resources in harmony with service to self and others, and netpositive development of human communities, planetary healing and advancement of netpositive economics.
Section 2. Private Domain Respect
I agree to respect the private nature of PMA ministerial offerings, not offer or solicit PMA ministerial offerings to non-members, maintain confidentiality of internal operations, and support the constitutional protection framework.
Section 3. Good Faith Participation
I commit to participating in good faith by participating within the PMA for legitimate activities, supporting the netpositive mission, respecting other members and PMA leadership, and contributing to community prosperity and abundance.
Section 4. Continuity of Agreement
I commit to the continuity of my membership and agree to abide by this Agreement, without further acceptance being required, including if this agreement is being updated, amended or changed by the PMA Leadership, as long as the spiritual principles and mission it reflects remains the same. I always reserve my right and freedom to exit out of this agreement and the membership at any time I choose.
Section 1. Risk Assumption
I acknowledge and assume full responsibility for all risks taken by me and my decision to participate in this PMA. This includes but is not limited to financial, biological, psychological, social, as well as physical risks associated with any and all of the ministerial offerings and opportunities within the netpositive community participation.
Section 2. Regulatory Environment Understanding
I understand that the PMA operates under constitutional protection as a private membership organization. Regulatory environments may change and affect operations; the PMA maintains regulatory immunity through private membership structure. All ministerial offerings are provided within good faith and a constitutionally protected framework.
Section 3. Technology and Operational Risks
I acknowledge and assume responsibility for all risks related to: community living, participation in village governance, decision-making, business and operational systems, network connectivity and system availability, data security and privacy protection measures and operations required for system maintenance or improvement.
Section 4. Association Liability Limitation
I acknowledge that the PMA operates under ministerial immunity and constitutional protection. The PMA's liability is limited to the extent permitted by law and constitutional protection frameworks.
Section 5. Member Indemnification
I agree to indemnify and hold harmless the PMA, its Trustees, and members from any claims, damages, or liabilities arising from my participation in Association offerings, my participation in NPV or any other related ministerial offerings, any violations of this Agreement, and any claims related to economic activities within the network.
Section 6. Insurance and Medical Coverage
I understand that this Ministry may not participate in medical and liability insurance and neither is applicable to the jurisdiction of this Private Ministry and its Contracted Service Members. I agree not to seek any remedy for relief in the Public Domain.
Section 7. Learning Environment Risks
I understand that any supplementary or primary learning opportunities presented to me by this Ministry are offered with the best intentions and do not seek to misrepresent information or endanger myself or my young, but to create a thriving space for exploration and discovery. I consent to full risk responsibility should I, or my young, participate in any in-person gatherings or routine events. I am aware this can include water and other nature-based or animal risks. I do not hold the Ministry, care givers, or Ministry Service Members, liability or to public regulation standards of care in learning environments.
Section 1. Member Privacy Protection
I commit to protecting member privacy through strictly protecting privacy under constitutional privacy rights, safekeeping and securely handling all member information, only using information as necessary for providing services, and not selling or otherwise mishandling sensitive information, especially with third parties.
Section 2. Confidentiality Obligations
I agree to maintain confidentiality regarding internal PMA operations and procedures, all intellectual property rights related to any and all Organizations within the PMA including but not limited to Netpositivity, Netpositive Village, Refugi.co, development Strategies, trade secrets and inventions, other members' private information and activities, financial details and operational methodologies, and strategic information related to the PMA's mission.
Section 3. Privacy of Records
I understand that this Ministry and its Service Members do not keep privacy of records according to other jurisdictional law such as the FDA, FTC, Medicare, Medicaid, my person's insurance company, or the State Medical Board, as I lawfully refuse to share outside the Private Domain of the Ministry, according to this Members Agreement.
Section 4. Non-Competition Obligations
I agree not to compete regarding any and all initiatives specifically but not limited to netpositive land development, health, food, housing, building, financial service, or community initiatives. I agree to NOT use any of the strategies learned within the PMA against the interests of the PMA for at least 30 years after entering into this agreement.
Section 5. Intellectual Property Protection
I understand the Private Property Rights of private intellectual content, uncontracted misuse of assets, and any information shared among the Ministry Leadership and Members is hereby attached a fine and that all works are protected under Common Law Copyright.
Section 1. Dispute Resolution Process
I agree that any disputes will be resolved through private mediation within the PMA's spiritual authority, ecclesiastical tribunal processes as outlined in the PMA's bylaws, spiritual discernment and restorative justice principles, and constitutional protection frameworks rather than secular court systems.
Section 2. Avoidance of Secular Courts
I agree not to file a lawsuit in nature of malpractice, civil, or any other suit, against a fellow Member, Ministry Leader or Service Member of the Association, unless that member has maliciously forced me to a "clear and present danger of substantive evil" of "criminal intent." If some such danger arises, I will make a prompt grievance report to the Association for an equitable decision against the other Member, Ministry Leader or Service Member.
Section 3. Member Trust and Good Faith
With peace, I know that every Member of this Private Ministerial Association has my best interest at heart and does not become a Service Member or Ministry Leader without full alignment in the Ministry's Intentions & Values, as they are aligned with Divine Source in their spirit serving with genuine care and a divinely inspired guidance.
Section 4. Protection from External Coercion
In the event that a Member has been coerced by any agent, officer or body serving by manipulation to draw information from a Member of the Ministry, about and therefore against the Ministry's private acts, services, education, youth uprising, community development, land stewardship, well care, or any like category in which the Ministry serves others, the Members liability transfers to the agent, officer or body coercing the Ministry's Member at a fine established by the Trustees of Sunlight Ministries.
Section 1. Membership Duration
My membership continues indefinitely unless I voluntarily withdraw from the membership, the PMA determines termination is necessary for mission protection, I violate the terms of this Agreement or PMA's values, or the PMA ceases to exist operations.
Section 2. Voluntary Withdrawal
I may withdraw from membership by providing written notice to PMA Trustees, completing any outstanding obligations, returning any PMA property or materials, and transitioning any holdings according to PMA protocols. Re-engagement following voluntary withdrawal is at the sole discretion of the Association's Trustee(s).
Section 3. Involuntary Termination
The PMA may terminate my membership for violation of Agreement terms or PMA values, actions harmful to other members or the mission, failure to meet any and all agreements made, and behavior inconsistent with sacred values and mission.
Section 4. Immediate Revocation
I acknowledge and agree that my members agreement can and will be immediately revoked at any time with any expression of activity or behavior that cumulatively or isolatedly is deemed abusive, violent, menacing, destructive, harassing, mentally manipulative, threatening, or malicious of the mind, body or spirit to any member of Ministry Leadership or its Collective Members.
Section 5. Post-Termination Obligations
5.1 I understand that I may withdraw my Members Agreement from Sunlight Ministries at any time, but that I will be recorded as being a Member for the duration of time that I was. I know that the terms of my agreement are still valid and applicable through that active term and can be used applicably to the contents of the Members Agreement Articles.
5.2 The following obligations survive termination or withdrawal of membership for the duration specified: confidentiality (30 years per Article VI Section 4), intellectual property restrictions (perpetual), non-competition (30 years per Article VI Section 4), and dispute resolution jurisdiction (perpetual).
Section 6. Private Contributions
I understand that all private contributions made to the Association are voluntary, non-refundable, and offered in honor as free-will exchanges within the private domain. Withdrawal from membership does not entitle a Member to return of any contributions made during the term of their membership.
Section 1. Distinction Between Membership and Residency
PMA membership and physical residency within a Netpositive Village are distinct. Membership grants access to ministerial offerings, community participation, and the Idea Meritocracy platform. Residency — meaning physical occupancy of a designated parcel or dwelling within a village — requires additional screening and activation as described in this Article.
Section 2. Background Screening Requirement
Any member who wishes to become a resident of a Netpositive Village must complete a background screening process before physical occupancy rights are activated. The screening process is administered by or on behalf of the Association and must be satisfactorily completed prior to residency commencement. The Association reserves the right to determine the scope and standards of screening at its discretion, consistent with its mission and values.
Section 3. Residency Eligibility Standards
Certain criminal histories constitute grounds for denial of residency activation, even where PMA membership is otherwise valid. These include but are not limited to convictions for violent crimes and sexual offences, particularly those involving minors. The Association reserves the right to deny residency to any applicant whose history is inconsistent with the safety, wellbeing, and mission of the community, as determined by the Trustee(s) in their sole discretion.
Section 4. Effect on Beneficial Interest
Denial of residency eligibility does not automatically terminate PMA membership or affect any beneficial interest held through a separate Private Membership and Land Acquisition Agreement. The rights and obligations of beneficial interest holders in such circumstances are governed by the applicable trust documents and the Private Membership and Land Acquisition Agreement.
Section 1. Constitutional Rights Acknowledgment
I acknowledge my constitutional rights including freedom of association and voluntary membership, protection from governmental interference in spiritual practice, right to privacy in financial and economic activities, and protection under First Amendment freedom of association.
Section 2. Member Benefits and Services
As a member, I am entitled to access to NPV ministerial offerings, opportunities, and internal financial systems, participation in the netpositive village economy with constitutional protection, member support and educational services, and protection under Association's constitutional immunity.
Section 3. Idea Meritocracy Participation
As a member, I have access to the Association's Idea Meritocracy platform — an internal governance system through which participants may propose ideas, provide community input, and contribute to the development of shared village infrastructure and standards. Ideas progress through stages based on community support and merit. All members may participate in the Idea Meritocracy platform. Members who additionally hold Beneficial Interest Units through the Private Membership and Land Acquisition Agreement hold voting rights on any material deviation from the NPV Development Plan, as defined in that agreement.
Section 1. Spiritual Commitment
I affirm my commitment to the spiritual principles underlying the Association's mission including belief in inherent abundance as humanity's natural state, commitment to sacred stewardship of resources, service to netpositive community development, and advancement of abundance and human flourishing.
Section 2. Mission Alignment
I commit to supporting the Association's mission of facilitating humanity's transition from scarcity to abundance, supporting netpositive community development, advancing netpositive biological, physiological, social, economic and spiritual systems, and building the infrastructure for civilizational prosperity.
Section 1. Voluntary Participation
I consent to the application and/or submission of applicable materials to the Ministry for the approval of myself as a Member. I voluntarily, without coercion, enter this change to my capacity from that of a public person to that of a Private Member of Sunlight Ministries and accept all limitations, rights, and authorities restricted or granted.
Section 2. Privacy Commitment
In alignment with the Values set forth, and with deep respect for Sunlight Ministries and the Missions and Intentions of those serving in Ministry Leadership, I affirm that my activities within the Private Association are a private, contractual matter that I refuse to share with any outside jurisdiction, including Local, State, or Federal investigative or enforcement agencies. Further, I fully agree not to pursue any course of legal action outside of the tribunals of Sunlight Ministries.
Section 3. Good Faith Recognition
I recognize, acknowledge and understand, that no Member at any level within Sunlight Ministries has intent to harm me, my loved ones, my peers, or any other Member of the Collective, and will not seek resolution unless an individual member exposed me to a "clear and present danger of substantive evil", and the recommendation and approval of the Association is expressed and approved in writing as the Ministry holds a deep consideration for the well-being of all Source Beings.
Section 4. Agency Disclaimer
I emphatically confirm, under affirmation, that I do not represent any Local, State or Federal agency whose purpose and intent is to monitor, regulate, enforce or carry out any mission that may inhibit the deeply held beliefs, values and spiritual gifts or performance of the sharing of those gifts in efforts to entrap or investigate the intentions, beliefs, values and practices of this Private Ministerial Association.
Section 5. Informed Consent
I have read and understood the works within this Members Agreement and feel fulfilled of the benefits, rights and over standing Spiritual Authority empowered in me through my consensual contract with Sunlight Ministries. Any questions that I have self-responsibly made the Ministry aware of by my own conscious, accountable voicing, were answered thoroughly and are of satisfaction to my being for the forming of my educated decision to contract with the Association.
Section 6. Peaceful Conduct
I express affirmation of peace with Ministry Values, alignment with the Ministry's Intentions/offerings, agreement to conduct contracts, relations, networking and any conversations and affairs within the ministry with a peaceful and conscious demeanor, always seeking resolution with perspective from both sides of any more inflamed interactions. At all costs, I avoid violence or harm towards mind, body and spirit of fellow Members and Ministry Leadership.
Section 7. Private Agreement Review
I acknowledge that prior to finalising my membership, I have had the opportunity to have all questions regarding this Members Agreement answered to my satisfaction by a Ministry Leader or designated representative of the Association. I confirm that I enter into this agreement with full innerstanding of its terms, without remaining questions, and without coercion. This acknowledgment forms part of my informed and voluntary consent to membership.
Section 8. Member Agreement
By submitting a membership application, I acknowledge that I have read, innerstood, and agree to all terms of this Members Agreement. I affirm my voluntary membership in Netpositive Village, a project of Sunlight Ministries Private Ministerial Association ("PMA") and my commitment to its sacred mission and values.
This Agreement constitutes a private contract between consenting parties under constitutional
protection and establishes membership in a private ministerial association dedicated
to the good of humanity, regeneration of our planet, abundance and the advancement of netpositive community development.
